1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of www.CulinaryManagement.Co (the “Site”) and any programs, services, certifications, consulting, coaching, educational materials, digital products, or related offerings (collectively, the “Services”) provided by The Culinary Management Company (“Company,” “we,” “us,” or “our”).

By accessing the Site or enrolling in any Service, you agree to be bound by these Terms.

If you do not agree, do not use the Site or Services.

2. Eligibility

You must be at least 18 years old to use this Site or enroll in any Service.

By using the Site, you represent and warrant that you are legally capable of entering into a binding agreement.

3. No Professional Relationship Without Written Agreement

Use of the Site does not create a consulting, advisory, fiduciary, brokerage, or other professional-client relationship.

A professional relationship exists only upon execution of a separate written agreement signed by both parties.

4. Program Enrollment and Payment Terms

Enrollment in any program, course, cohort, certification, consulting service, or digital product constitutes agreement to the pricing, payment schedule, and participation terms presented at checkout or provided in writing at the time of enrollment.

Unless otherwise expressly stated in writing:

  • All sales are final.

  • Payments are nonrefundable.

  • Payments are nontransferable.

If you elect a payment plan, you remain responsible for completing all scheduled payments regardless of participation level, attendance, satisfaction, or business outcomes.

Failure to complete payment obligations may result in:

  • Immediate suspension or termination of access

  • Removal from the program

  • Collection activity

  • Legal action for recovery of unpaid balances

Chargebacks

If you have a concern regarding a charge, you agree to notify The Culinary Management Company in writing within five (5) business days of the issue arising to allow good faith resolution.

You agree not to initiate a chargeback, payment dispute, or reversal with your financial institution without first providing written notice and allowing a reasonable opportunity for resolution.

Improper chargebacks constitute a breach of these Terms. If a chargeback is initiated in violation of this section, you agree to be responsible for all associated fees, administrative costs, collection expenses, and reasonable attorneys’ fees incurred in recovering the disputed amount.

5. Intellectual Property

All content on the Site and within any Service — including but not limited to frameworks, methodologies, templates, workbooks, videos, training materials, branding, systems, and written content — is the exclusive property of The Culinary Management Company unless otherwise noted.

Program materials are licensed to you for personal, non-transferable use only.

You may not reproduce, record, distribute, modify, republish, upload, share, sell, or create derivative works from any content without prior written consent.

Unauthorized use may result in removal from Services without refund and may subject you to legal action.

6. Recording Policy

Certain programs, sessions, or trainings may be recorded by The Culinary Management Company for educational, archival, quality assurance, or replay access purposes.

By participating in live or virtual sessions, you consent to the recording of sessions in which you may appear, speak, or submit questions.

All recordings are the exclusive property of The Culinary Management Company.

Participants are strictly prohibited from independently recording, copying, distributing, or reproducing any live session, replay, or training content without prior written consent.

Unauthorized recording or distribution constitutes a violation of these Terms and may result in removal from the program without refund and potential legal action.

7. No Guarantee of Results

We do not guarantee:

  • Revenue growth

  • Profitability

  • Business success

  • Inspection outcomes

  • Certification results

  • Regulatory approval

  • Licensure

  • Investment returns

Results depend on numerous factors including implementation, market conditions, operational decisions, regulatory environment, effort, and timing.

8. Participant Conduct

You agree to conduct yourself professionally in all Services and communications.

We reserve the right to remove any participant without refund for:

  • Disruptive or inappropriate behavior

  • Harassment of other participants

  • Sharing proprietary content

  • Misuse of program materials

  • Violation of these Terms

9. Referral Partner Terms

Referral partners must provide accurate information and confirm they have appropriate permission before submitting any referral.

Referral compensation, where applicable, is governed by separate written agreements.

10. Limitation of Liability

To the fullest extent permitted by law, The Culinary Management Company, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

  • Use of the Site

  • Participation in any Service

  • Implementation of materials

  • Business decisions made based on provided content

This includes loss of profits, revenue, data, goodwill, or business opportunity.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Culinary Management Company, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site

  • Your participation in any Service

  • Your violation of these Terms

  • Your misuse of materials

12. Dispute Resolution

Good Faith Resolution

The parties agree to attempt to resolve any dispute arising out of or relating to these Terms or the Services through good faith written communication.

Mandatory Mediation

If a dispute cannot be resolved informally, the parties agree to participate in mandatory mediation in Broward County, Florida, before initiating litigation.

Litigation Venue

If mediation does not resolve the dispute, exclusive venue and jurisdiction shall remain in the courts located in Broward County, Florida.

Injunctive Relief

Nothing in this section prevents The Culinary Management Company from seeking immediate injunctive relief in court to protect intellectual property rights or confidential information.

13. Force Majeure

We are not liable for failure or delay in performance due to causes beyond our reasonable control, including natural disasters, government actions, technical failures, internet disruptions, or other unforeseen events.

14. Modifications

We reserve the right to update these Terms at any time. Updates will be reflected by revising the Effective Date.

Continued use of the Site constitutes acceptance of any revised Terms.
