REFERRAL PROGRAM TERMS AND CONDITIONS

The Culinary Management Company

Program Overview

The Culinary Management Company (“Company,” “we,” “us,” or “our”) offers a Referral Program that compensates approved referral partners for introducing new qualified clients to our professional services and programs.

We value meaningful introductions and administer this program with transparency, consistency, and discretion.

Participation in the Referral Program constitutes agreement to these Terms and Conditions.

1. Eligibility

The Referral Program is open to individuals and organizations who are not referring their own business, brand, or affiliated entity.

By registering as a referral partner, you represent that:

  • You are at least 18 years old

  • You are legally capable of entering into a binding agreement

  • You are legally eligible to receive referral compensation under applicable federal, state, and local laws

Referral partners are solely responsible for their own tax reporting and compliance obligations.

The Company reserves the right to withhold commission payments if it determines that a referral partner is not in compliance with applicable laws.

2. Registration and Approval

You must complete the official Referral Partner Registration form and receive written approval from The Culinary Management Company prior to submitting any referrals. Referrals submitted before written approval is granted will not qualify for commission.

Registration does not guarantee acceptance. The Company reviews all registrations and reserves the right to approve or decline participation at its sole discretion.

Only approved referral partners may submit referrals.

3. Qualifying Referrals

To qualify for commission:

  • You must be an approved referral partner prior to submission

  • The referral must be submitted through the official referral form or in writing via email before any contact between the referred party and the Company

  • The referred party must not be an existing contact, active lead, current client, or former client

  • The referred party must independently enter into a written agreement or complete enrollment

  • The referred party must fulfill the initial payment obligation under that agreement

The Company retains sole discretion in determining whether a referral meets qualifying criteria.

4. Qualified Services

Qualified Services include the following categories when executed under written agreement:

Programs

  • Culinary Entrepreneurship — The Classroom

  • Culinary Entrepreneurship — The Workshop

  • Restaurant Management Series — Full Program

  • Restaurant Management Series — Per Course Enrollment

Consulting

  • Multi-session, project-based, or retained consulting engagements executed under a written contract

Certification and Training

  • Food Safety Certification or Training sessions scheduled under a written agreement

Speaking

  • Standalone speaking engagements executed under a written contract

Other services must be agreed upon in writing.

5. Commission Structure

Commissions are paid per Qualified Service agreement executed as a direct result of an approved referral.

Commission applies only to the first Qualified Service agreement executed by the referred party.

Subsequent agreements, renewals, add-ons, upgrades, or additional enrollments with the same referred party do not qualify for additional commission.

Each agreement must be separately contracted and independently executed to qualify.

PROGRAMS

Culinary Entrepreneurship — The Classroom ........ $200
Culinary Entrepreneurship — The Workshop ......... $250
Restaurant Management Series — Full Program ...... $250
Restaurant Management Series — Per Course ........ $50

Per Course Enrollment commission applies only to the first per-course enrollment per referred participant.

CONSULTING

Consulting Engagement ............................ $500

Commission applies only to multi-session, project-based, or retained consulting agreements executed under written contract.

One-time advisory sessions, audits, strategy calls, short-term engagements, or standalone consultations do not qualify.

CERTIFICATION AND TRAINING

Food Safety Certification Session (minimum 5 participants under one written agreement and scheduled date) ........ $150

Individual student enrollments do not qualify for referral commission.

Commission applies per scheduled certification session, not per participant.

SPEAKING

Speaking Engagement Booking ...................... $250

Commission applies only when speaking is the primary contracted service under a standalone written agreement.

If speaking is bundled within another service agreement (including consulting, advisory, training, or program engagements), no separate speaking commission applies.

6. Payment Terms

Commissions are paid within 30 days after:

  • The referred party’s initial payment has been received and cleared; and

  • All qualifying conditions have been satisfied

Referral partners must submit a completed W-9 and ACH authorization form prior to payment.

All commissions are paid in United States Dollars (USD) via ACH transfer.

7. Clawback Protection

If the referred party:

  • Cancels

  • Requests a refund

  • Fails to complete payment

  • Initiates a chargeback

prior to commission payout, no commission will be owed.

If commission has already been paid and the client payment is later reversed, refunded, or disputed, the Company reserves the right to recover or offset the commission amount.

8. Conduct and Representations

Referral partners agree to:

  • Provide truthful and accurate information

  • Confirm that referred individuals have granted permission to share their contact information

  • Not misrepresent services, pricing, outcomes, or guarantees

  • Not present themselves as agents, employees, or representatives of the Company

  • Not negotiate terms on behalf of the Company

  • Comply with all applicable laws

Fraudulent, misleading, or deceptive conduct may result in immediate termination from the program and forfeiture of unpaid commissions.

9. Independent Relationship

Participation in the Referral Program does not create an employment, agency, partnership, joint venture, or fiduciary relationship.

Referral partners act as independent parties and are solely responsible for their own business activities and tax obligations.

10. Modifications and Termination

The Company reserves the right to modify or terminate the Referral Program at any time.

Referrals submitted prior to modification that meet qualifying criteria will be honored under the terms in effect at the time of submission.

11. Indemnification

You agree to indemnify and hold harmless The Culinary Management Company, its affiliates, owners, officers, employees, and agents from any claims, liabilities, damages, costs, or expenses arising from your participation in the Referral Program or violation of these Terms.

12. Dispute Resolution

The parties agree to attempt a good-faith resolution of any dispute through written communication.

If unresolved, the parties agree to mandatory mediation in Broward County, Florida.

If mediation does not resolve the dispute, exclusive venue shall remain in the courts located in Broward County, Florida.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions.
